These terms cover use of vorsalogic.com and, in the labeled section below, Vorsa Logic's internal QuickBooks Online Finance Connector.

vorsalogic.com is provided as-is for general information about Vorsa Logic and its services. Content on this site is not legal, tax, accounting, or professional advice. How we handle information you send us is described in our privacy policy.
The QuickBooks Online Finance Connector — End-User License Agreement
This End-User License Agreement ("Agreement") governs use of the Vorsa Logic Finance Connector (the "Connector"), an internal MCP-compatible application operated by Vorsa Logic, LLC ("Vorsa Logic," "we," "us," or "our") for its own QuickBooks Online company. The Connector connects Vorsa Logic's QuickBooks Online company to authorized Vorsa Logic company administrators through Intuit's Accounting API, and may be directed through an AI assistant such as OpenAI Codex or Anthropic Claude.
1. Acceptance and authorization
Only an authorized Vorsa Logic company administrator may access or direct the Connector. By connecting QuickBooks Online or using the Connector, the administrator confirms that they are authorized to act for Vorsa Logic and agree to this Agreement.
2. License
Subject to this Agreement, Vorsa Logic grants its authorized administrators a limited, non-exclusive, non-transferable, revocable license to use the Connector for Vorsa Logic's internal accounting and operational workflows. The Connector is not licensed for resale, public distribution, or use with an unrelated QuickBooks Online company.
3. Permitted use
The Connector may be used to read, create, update, attach, report on, and otherwise manage QuickBooks Online accounting data through the permissions granted to the Intuit app. Administrators are responsible for reviewing proposed and completed changes, maintaining appropriate accounting controls, and ensuring that requests comply with Vorsa Logic's policies and applicable law.
The Connector does not replace a qualified accountant, tax professional, auditor, or legal adviser. Vorsa Logic remains responsible for its books, records, tax filings, approvals, reconciliations, and financial decisions.
4. Prohibited use
Administrators may not:
- use the Connector to access a QuickBooks company without authorization;
- share OAuth credentials, refresh tokens, or client secrets;
- attempt to bypass Intuit permissions, rate limits, security controls, or audit mechanisms;
- use the Connector for unlawful, fraudulent, deceptive, or abusive activity;
- expose QuickBooks data to an unapproved person, assistant, model, or service; or
- reverse engineer, sublicense, resell, or publicly distribute the Connector except as allowed by applicable law.
5. Third-party services
The Connector depends on third-party services, including Intuit QuickBooks Online and the approved AI assistant or infrastructure provider selected by Vorsa Logic. Those services are governed by their own terms, availability, security controls, and privacy policies. Vorsa Logic is not responsible for a third party's outage, policy, data processing, or change to its API. QuickBooks data is not used to train AI models.
The Connector is not affiliated with, sponsored by, or endorsed by Intuit Inc. QuickBooks and related marks are owned by Intuit Inc.
6. Security and credentials
Administrators must use approved devices and accounts, protect local credential storage, enable available account security controls, and report suspected credential exposure promptly. Vorsa Logic may suspend or disconnect access when it reasonably believes that security, accounting integrity, or third-party requirements are at risk.
7. Availability and changes
The Connector is provided for internal use and may be modified, suspended, or discontinued as needed. Features may change when Intuit changes its APIs, permissions, rate limits, or platform requirements.
8. Disclaimer
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE CONNECTOR IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES THAT IT WILL BE ERROR-FREE, UNINTERRUPTED, OR SUITABLE FOR A PARTICULAR ACCOUNTING, TAX, OR BUSINESS RESULT. ADMINISTRATORS MUST VERIFY OUTPUTS AND ACCOUNTING ENTRIES BEFORE RELYING ON THEM.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VORSA LOGIC WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF DATA, PROFITS, OR BUSINESS INTERRUPTION ARISING FROM USE OF THE CONNECTOR. This section does not limit liability that cannot legally be limited.
10. Termination
Vorsa Logic may terminate or suspend this license at any time. Upon termination, the administrator must stop using the Connector, disconnect the QuickBooks Online company when directed, and delete locally stored credentials and copies of Connector output that are no longer needed.
11. Governing law
This Agreement is governed by the laws of the State of Texas, without regard to conflict-of-law rules.
